Terms of service

1. The agreement

Michael Barber is the merchant offering and selling Ace. These terms are between you and Michael Barber ("we", "us"). By installing or using Ace, or by using this website, you accept them. If you do not, do not install it.

2. Your licence

While your subscription is active you have a personal, non-exclusive, non-transferable, revocable licence to install and use Ace on the Macs you personally use. You may not resell, sublicense, rent, or distribute it, and you may not attempt to circumvent its licensing.

Ace is licensed, not sold. We keep all intellectual property in the software.

3. What you make with it

Your work is yours. We claim no ownership, no licence, and no right whatsoever over anything Ace produces for you or anything it touches on your machine. We never receive it, so we could not use it even if we wanted to.

4. What you need to bring

Ace requires your own ChatGPT or Claude account. Your use of that account is governed by your agreement with that provider, and you are responsible for complying with it. We are not a party to it and cannot act on your behalf with them. Which of their plans qualify is set by OpenAI and Anthropic, not by us.

5. Acceptable use

Do not use Ace to break the law, to infringe someone else's rights, or to produce material that is unlawful. Two specific points, because the modes involved invite the question:

• Stealth keeps private coursework private on your own machine. It is not a tool for academic dishonesty and must not be used to misrepresent someone else's work — including an AI's — as your own where you are required to say otherwise. Your institution's rules govern your work; we do not override them and would not want to.
• Trader gives context on a chart you show it. Trading decisions are yours alone.

We may suspend a licence being used to break these terms.

6. You approve the output

Ace produces drafts and performs actions you asked for, using a language model that can be wrong, incomplete, or confidently mistaken. Every result is returned to you for approval precisely because a human being needs to read it before it matters. You are responsible for reviewing output before relying on it, sending it, filing it, or acting on it.

7. Trader is not financial advice

Trader describes what is on a chart you show it. It is not investment advice, it is not a recommendation to buy or sell any security, and it does not create an adviser relationship of any kind. We are not a registered investment adviser, broker-dealer, or financial planner. No performance is claimed, promised or implied, and past behaviour of any market is not a prediction of its future behaviour. Execution is off: Ace never places an order and never connects to a brokerage account. Decisions about your money are entirely yours, and you should consider taking advice from someone licensed to give it.

8. Warranty disclaimer

Ace is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Ace will be uninterrupted, error-free, or that it will produce any particular result.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. If you are a consumer, you have statutory rights that these terms do not affect.

9. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, or lost or corrupted data. Our total liability arising out of these terms is limited to the amount you paid us in the twelve months before the claim arose.

Keep your own backups. Ace operates on real files on your Mac. That is the point of it, and it is also a risk: work with a backup, as you would with any tool that can change your files.

10. Ending it

You may stop at any time by cancelling — see the subscription terms. We may end your licence if you materially breach these terms. If we discontinue Ace entirely, we will tell subscribers in advance and refund any period paid for and not delivered.

11. Changes to these terms

We may update these terms. If a change is material we will email subscribers and update the effective date at the top. Continuing to use Ace after that date accepts the change.

12. Governing law

These terms are governed by the laws of the State of Alabama, United States, without regard to its conflict of laws rules. That choice is not an exclusive forum clause. If you are a consumer, nothing here removes mandatory consumer rights under the law where you live or your right to bring proceedings in any forum the applicable law permits.

13. Trademarks

Apple, Mac, macOS and Apple silicon are trademarks of Apple Inc., registered in the U.S. and other countries. ChatGPT and Codex are trademarks of OpenAI. Claude and Claude Code are trademarks of Anthropic PBC. Stripe is a trademark of Stripe, Inc. These names are used here only to describe compatibility and requirements. Ace is not affiliated with, endorsed by, sponsored by, or certified by any of them.
